INTEGRITES successfully represented the seller in a complex sale of Kyiv-Atlantic Ukraine

INTEGRITES acted as a lead legal counsel to one of the sellers of Kyiv-Atlantic Ukraine, a big agricultural group in Ukraine.

The transaction was complex, as the sale of the group of companies was subject to the restructuring of a loan with one of the biggest Ukrainian banks. INTEGRITES advice involved (i) transaction structuring and negotiations on the English law SPA, which included two buyers, two sellers and three underlying companies, including a JSC; (ii) structuring the payment of the purchase price via escrow account at Ukrainian banks, the legal framework for which has just recently been established; (iii) sale distribution process agreement between the shareholders and third-party creditors; and (iv) restructuring of the loan and its consequent sale to the purchaser.

The transaction was supervised by Dr. Oleksiy Feliv, Managing Partner at INTEGRITES.
